PREAMBLE
We, members of the Grieving Community, having suffered the loss of
a loved one, do hereby bind ourselves together in order to provide
solace, comfort and counsel to others who have suffered loss. We hereby
declare and establish the following constitution to preserve and secure
our endeavors.
ARTICLE 1: NAME
This company shall be known as GROWW (Grief Recovery On-Line
{founded by} Widows and Widowers).
ARTICLE 2: OBJECTIVES
This company shall follow generally accepted principles of good faith
and common goodness to aid and assist all members of the grieving
community in the dealing with their pain and suffering. The primary
environment for this service is the Internet with various and sundry
incursions into the general society to continue to meet GROWW
objectives and goals.
ARTICLE 3: ENUMERATION OF OBJECTIVES
GROWW, Inc. is a non-profit (501c) corporation dedicated to
providing support and assistance to people who have lost a loved one(s)
to death. The workplace of GROWW is the Internet. GROWW
services are provided in two areas: "chat" and resources.
The "chat" format is an interactive area of discourse and conversation
where entrants discuss and address issues relative to their loss.
GROWW maintains proprietary rooms for this activity on its
website and provides rooms for specific issues such as, loss of child,
loss due to drunk driving, loss of parent, and a number of other specialty
rooms. An initiation room known as Grief Recovery is the primary source
of information gathering. An entrant may remain here and/or share
his specific loss and be further directed to a private room many of
which are closely monitored and maintained with password security.
At present, GROWW maintains a number of chat rooms (a current
schedule is displayed at the website: www.GROWW.org). Some rooms are
opened 24 hours, e.g., HomeGROWWn, a room for general conversation,
sometimes for frivolity. Rooms are usually "hosted" by volunteers.
The Resource portion of the GROWW website is extensive. As
well as providing message boards for visitors to share, special areas
are provided such as, "EMail to Heaven", where visitors can "send"
(verbalize) messages to lost loved ones.
Linkage is provided with additional resource sites and services to
allow visitors to take advantage of the full capabilities of the Internet.
Additional sites and links will be made as needed and as worthwhile
ones become available. Resource service covers a wide range of subjects.
Visitors may obtain information or link to governmental, educational,
health, medical, financial, and social services. Most of these sites
offer linkage to GROWW.
It shall be the pursuit of GROWW to provide guidance and assistance,
if need be, to sites who purpose is of a similar nature to GROWW.
GROWW shall provide and foster guidelines to these "similar"
sites especially with regard to client/member interaction.
A "sister" site is established as the "back office" of GROWW.
Following the same tenets of quality and good will, its primary purpose
is to relieve the main site of business related endeavors and to provide
a site for business alliances and programs to raise funds for the
continued success of GROWW.
GROWW will offer assistance to entities needing to extend service
to their membership/employees and provide linkage to sites and services
which are deemed appropriate resources. GROWW has been designated
as a safe site and has been chosen for numerous awards.

ARTICLE 4: ORDINANCES
In addition to generally accepted business practices and rules of
common good, all GROWW volunteers/employees will be guided
by The PROMISE, which content can be found of the website.
ARTICLE 5: COVENANT
The commitment of GROWW is embodied in The Promise
and its purpose.
ARTICLE 6: AMENDMENTS
Amendments to this Constitution may be made at any time with a two-third
(2/3) majority vote of the sitting Board of Trustees.
BYLAWS
1.0 MEMBERSHIP
The only requirement for membership is having lost a loved one. There
are no dues or fees.
1.1 Procedures for Membership
In keeping with the spirit of anonymity, there are no specific procedures
or forms required to membership in the GROWW fellowship. Simple
introduction of oneself as a member in grief is sufficient.
1.2 Confidentiality
ALL information or data provided by members to GROWW is deemed
to be confidential and to be held in strict confidence by the Corporate
entity. No specific personal information will be proffered or dispensed
without explicit permission of the individual.
1.3 Types of Membership
GROWW makes no distinction in membership types. All members
are equal regardless of type loss.
1.4 Duties and Rights of Members
All members are expected to be honest and direct in their dealings
and communications on the site with and between GROWW and other
members. Member Hosts are specifically enjoined to proclaim their
duties and claims in The Promise.
1.5 Discipline of Members
It shall be the practice of GROWWand its membership to be faithful
to our purpose of helping one another through the grieving process.
No right or wrong ways to grieve will be indicated or offered; no
schedule for healing will be proposed. Discipline of room activity
and message board entries shall be the exclusive domain of the GROWW
staff.
1.6 Termination of Members
There can be NO termination of a true member. Exclusion from GROWW
activities, however, will remain an option of the site overseers.
2.0 BOARD OF TRUSTEES
The Board of Trustees shall consist of nine (9) members.
2.1 Board Complement and Term of Service
The make-up and term of service will be as follows:
1 Permanent Member
4 2 Year Terms, with a 2 year option
4 1 Year Terms, with a 1 Year option
2.2 MEETINGS
Board Meetings will be conducted at least twice per year. Meetings
may be called by the GROWW staff on an as needed basis and
may be conducted on-line or in person as conditions warrant or permit.
2.3 FULFILLMENT
Attempt will be made to have the full complement of Board Membership
chairs filled at all times.
2.4 QUORUM
A Quorum is determined to be 40% of the sitting board (fulfilled chairs).
A fifty per cent (50%) majority is required to carry any Board issue.
2.5 DUTIES
It shall be the duty of the members of the Board to provide advice
and assistance to the GROWW staff on all matters pertaining
any GROWW business and endeavors and to approve company ventures,
policy and procedures.
2.5.1 COMMITTEES
In addition to General Meetings, the Board of Trustees will meet as
required on GROWW business in committee for the following:
FINANCE - This committee will provide oversight and
advice to the Finance Department of GROWW. Finance will provide
the committee with all necessary documentation and information required
in the performance of its duties.
NOMINATION - This committee will search and nominate
for the full Board potential nominees for Board membership.
TECHNICAL - This committee will apprise management and
staff of pertinent and necessary technological information to keep
GROWW abreast of the industry evolvement particularly as it
pertains to the Internet.
REFLECTION - This committee will oversee the content
and quality of the GROWW web sites. It shall be the duty of
this committee to provide management with information relative to
the composition and content of the sites and to recommend and explore
alliances and partnerships.
AUDIT - This committee shall have the responsibility
of audit of all GROWW financial activities as well as policy
and procedures internal and relative to Internet activity.
PERSONNEL - This committee shall handle oversight of
GROWW personnel policies.
STRATEGIC PLANNING - This committee shall be responsible
for the overall planning and integration of other Committee activity.
FUNDRAISING - This committee shall be responsible for
current and potential fundraising activity including oversight of
outside consultants and fundraisers.
2.6 TERMINATION
Termination of a Board member's shall be made at the conclusion of
the specific term of the member, by request of the Board member, or
by vote of the sitting Board for any infraction deemed by the Board
to be "not in the best interest of GROWW.
